Terms of Service

This document is a working draft. The data controller's details and the bracketed references must be completed, and the whole text should be reviewed by a legal advisor before final use.

These Terms of Service (the “Terms”) govern access to and use of the Whaiz platform (the “Service”), provided by [Legal entity], VAT [VAT no.], with registered office at [address] (the “Provider”, “we”). The Privacy Policy and the Data Processing Agreement (DPA) form an integral part of these Terms.

By using the Service you fully accept these Terms. If you do not accept them, do not register and do not use the Service.

1. Definitions

“Service”: the Whaiz software platform, accessible via the web, that lets you connect a WhatsApp account and configure an artificial-intelligence assistant.

“User” / “you”: the natural or legal person who registers for and uses the Service.

“Bot”: the automated assistant configured by the User that generates and sends replies in the conversations handled.

“Credit”: the prepaid balance that enables pay-as-you-go use of the Service's AI features.

“User Content”: the contacts, groups, conversations and messages the User chooses to import, handle or have the Bot process.

2. Object of the Service

Whaiz is a software service that lets you connect your own WhatsApp account through WhatsApp's “Linked devices” feature and the scanning of a QR code, and configure a Bot able to generate and send automatic replies in the conversations the User chooses to handle.

The Provider grants the User a personal, non-exclusive, non-transferable and non-assignable licence to use the Service, limited to the duration of the relationship and to the purposes set out in these Terms.

Whaiz is not affiliated with, sponsored or endorsed by WhatsApp LLC or Meta Platforms, Inc. The Service is provided “as is” and its features and usage limits may change over time.

3. Registration and account

To use the Service you must create an account by providing a valid email address and setting a password, or by authenticating with a third-party provider (e.g. Google), and by accepting these Terms and the Privacy Policy.

You are responsible for keeping your credentials confidential and for all activity carried out through your account, and you undertake to notify us promptly of any unauthorised access. You must be at least 18 years old and have the legal capacity to accept these Terms.

4. Acceptable use and user responsibility

You agree to use the Service in compliance with the law, third-party rights and the WhatsApp/Meta terms of use. Using unofficial clients to automate WhatsApp may breach WhatsApp's terms and may lead WhatsApp to restrict or ban your number: you knowingly accept that risk.

It is forbidden to use the Service to send unsolicited messages (spam), unwanted bulk communications, or unlawful, harassing, fraudulent or rights-infringing content.

You are solely responsible for the User Content and for the messages the Bot sends on your behalf. You warrant that you have a valid legal basis for that processing and undertake to provide data subjects with the required information.

5. AI-generated content

The Bot's replies are generated automatically by artificial-intelligence models and may contain errors, inaccuracies or out-of-date information. They do not constitute professional advice of any kind.

You are required to configure, monitor and moderate the Bot's behaviour according to your use case. Whaiz does not warrant the accuracy, suitability or outcome of the generated replies.

6. Credit, payments and auto top-up

The Service runs on a pay-as-you-go basis through a prepaid Credit balance: it is not a subscription. Credit purchases and payments are handled through the provider Stripe; we do not store your full card details.

If you enable auto top-up, you authorise us to charge your saved payment method the amount of the chosen package when your balance falls below the threshold you set, until you turn it off.

Credit already consumed is non-refundable. Any remaining balances are handled in accordance with applicable law and, where due, in compliance with consumer rights.

7. Term, suspension and termination

The relationship is for an indefinite term and remains active as long as you keep your account. We may suspend or terminate the Service, in whole or in part, in the event of a breach of these Terms, unlawful or abusive use, a security risk or legal obligations.

You may stop using the Service at any time by deleting your sessions and/or account. Data deletion is governed by the Privacy Policy and the DPA.

8. Intellectual property

The software, the “Whaiz” trademark, the interface, content and graphic elements of the Service are owned by the Provider or its licensors and are protected by applicable law. Nothing in these Terms transfers any intellectual-property rights in the Service to the User.

User Content remains owned by the User, who grants the Provider only the rights needed to deliver the Service.

9. Limitation of liability

To the maximum extent permitted by law, Whaiz is not liable for indirect, incidental or consequential damages, nor for loss of data, profits or opportunities arising from the use of, or inability to use, the Service, including the consequences of actions taken by WhatsApp/Meta on your account.

Liability that cannot be excluded or limited by law remains unaffected.

10. Privacy and data protection

The processing of personal data is described in the Privacy Policy. For the data of your contacts, groups and conversations you act as data controller and Whaiz acts as a processor on your behalf under the Data Processing Agreement (DPA), which forms an integral part of these Terms.

11. Changes to the Terms

We may update these Terms for technical, legal or service reasons. Material changes will be communicated through appropriate means with reasonable notice. Continued use of the Service after an update constitutes acceptance.

12. Governing law and jurisdiction

These Terms are governed by Italian law. Any dispute shall be subject to the courts of [jurisdiction], without prejudice to any mandatory consumer-protection venue.
